Welcome to Cuyo.

These Terms of Service (“Terms”) govern your access to and use of the Cuyo mobile application, website, digital audio tours, tour bundles, and all related services (collectively, the “Services”) provided by Cuyo (“Cuyo”, “we”, “our”, or “us”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

If you are using the Services on behalf of another person or organization, you represent that you have the authority to accept these Terms on their behalf.

Cuyo is a digital platform offering self-guided, location-based audio experiences designed to help users discover cities through immersive storytelling.

Cuyo does not provide guided tours, transportation services, travel agency services, or event organization. All tours are self-guided and are completed independently by the user.

You must be at least 13 years old to use the Services.

If you are under the age of majority in your country of residence, you may only use the Services with the permission and supervision of a parent or legal guardian.

Certain features of the Services require a user account.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify Cuyo immediately if you suspect unauthorized access to your account or any security breach.

We reserve the right to suspend, restrict, or terminate accounts that violate these Terms or are used for fraudulent, abusive, or unlawful purposes.

4. Guest Mode

Cuyo may allow users to access certain features without creating an account.

Guest users may have limited functionality compared to registered users.

Guest sessions may not include access to purchases, synchronized progress, cloud backups, or other account-related features.

Temporary access granted through Guest Mode does not create ownership rights or permanent access to any purchased content.

Cuyo may modify, restrict, or discontinue Guest Mode at any time.

Digital audio tours and tour bundles are offered as digital products through supported app marketplaces.

At the time of publication, purchases are processed exclusively through:

Cuyo does not directly process payment card information.

Payment processing, billing, refunds, taxes, and payment security are handled by the respective app marketplace under its own terms and policies.

Prices may vary by country, currency, platform, taxes, promotional offers, or future pricing models.

Future Services may include additional purchasing options where permitted by applicable law.

6. License to Use the Services

When you purchase or access digital content through Cuyo, you receive a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the purchased content for your personal, private, and non-commercial use.

This license does not transfer ownership of any intellectual property.

Except where expressly permitted by applicable law, you may not:

7. Tour Bundles

Cuyo may offer collections of audio tours as digital bundles.

Unless otherwise stated, each bundle grants access only to the tours specifically included in that bundle at the time of purchase.

Future tours, expansions, premium content, or additional cities are not automatically included unless explicitly stated.

Cuyo may introduce promotional bundles, limited-time offers, or other purchasing options at its sole discretion.

8. Shared Tours

Certain tours may support temporary shared sessions that allow additional participants to experience a tour together.

A shared session grants temporary access solely for the duration of the active session.

Guests do not obtain ownership of the underlying tour.

Shared access automatically ends when:

Guests may not continue using shared content after the session has ended unless they independently purchase or otherwise lawfully obtain access to the relevant tour.

Shared sessions are intended solely for collaborative participation and must not be used to circumvent purchasing requirements or licensing restrictions.

Cuyo reserves the right to introduce reasonable technical limits regarding the duration, number of participants, or availability of shared sessions.

9. Intellectual Property

The Services and all associated materials are protected by copyright, trademark, database rights, trade secret laws, and other applicable intellectual property laws.

This includes, without limitation:

Certain content may be licensed from third-party rights holders and remains the property of its respective owners.

Nothing in these Terms transfers ownership of any intellectual property to you.

Unauthorized use may result in termination of your account and legal action.

11. Safety While Using the Services

12. Driving Tours

Certain experiences may be designed for use while driving.

When participating in a driving tour, you remain fully responsible for operating your vehicle safely and in accordance with all applicable traffic laws.

You must never:

Whenever interaction with the application is required, you should safely stop your vehicle before doing so unless local law expressly permits otherwise.

Cuyo is not responsible for traffic conditions, road closures, accidents, vehicle damage, fines, or other consequences arising from the use of the Services while driving.

13. Location-Based Services

Certain features require access to your device’s location.

Location information is used solely to provide location-aware functionality, including navigation, automatic tour progression, and context-specific content.

While an active tour is running, location access may continue in the background where supported by your device and operating system in order to maintain the intended user experience.

Cuyo does not permanently store your continuous location history for completed tours.

Location accuracy depends on numerous external factors, including GPS signal quality, weather conditions, buildings, tunnels, trees, device hardware, and operating system limitations.

Accordingly, location-based functionality may occasionally be inaccurate, delayed, interrupted, or unavailable.

Users remain responsible for independently confirming their location and making safe decisions at all times.

14. Points of Interest and Accessibility

The Services may reference museums, parks, monuments, restaurants, businesses, public spaces, film locations, landmarks, or other points of interest.

Cuyo does not guarantee that any location:

Opening hours, admission fees, reservation requirements, accessibility, seasonal closures, temporary events, construction work, weather conditions, governmental restrictions, or other circumstances may affect availability at any time.

Users are responsible for independently verifying opening hours, accessibility, ticket requirements, and local conditions before visiting any location.

Such changes do not constitute a defect of the purchased digital content.

15. Historical and Informational Content

Cuyo strives to provide engaging, accurate, and carefully researched content.

Historical facts are researched from publicly available and reputable sources and are independently written by Cuyo.

Artificial intelligence tools may be used during the creative process for brainstorming, language refinement, or editorial assistance. Final content is reviewed, edited, and curated by Cuyo.

Despite reasonable care, historical information, dates, names, interpretations, or background stories may contain inaccuracies, omissions, or differing scholarly opinions.

The Services are intended for educational and entertainment purposes and should not be relied upon as authoritative historical, legal, scientific, or professional advice.

16. Availability of the Services

We aim to provide reliable access to the Services but do not guarantee uninterrupted availability.

The Services may occasionally be unavailable due to:

19. Disclaimer of Warranties

Cuyo makes no representation or warranty that the Services will:

20. Limitation of Liability

Nothing in these Terms excludes or limits liability where such limitation is prohibited by applicable law, including liability for intentional misconduct, gross negligence, fraud, death, personal injury caused by negligence where mandatory law applies, or any other liability that cannot legally be limited.

Subject to the foregoing, Cuyo shall not be liable for indirect, incidental, consequential, exemplary, punitive, or special damages, including loss of profits, revenue, business opportunities, goodwill, or data.

Cuyo shall further not be liable for damages arising from:

21. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Cuyo, its owner, affiliates, licensors, service providers, contractors, and business partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

22. Suspension and Termination

We reserve the right to suspend, restrict, or terminate access to all or part of the Services at any time if we reasonably believe that you:

23. Temporary Shared Sessions

The host remains the primary licensed user.

Guests receive only a temporary, revocable permission to participate in the active session.

Guest access automatically expires when:

Guests acquire no ownership, permanent access, transferable rights, or continuing license to any shared content.

Attempting to circumvent purchasing requirements through repeated guest participation, automated systems, account sharing, or technical manipulation constitutes a violation of these Terms.

Cuyo may impose technical limits on the duration, number of participants, frequency, or availability of shared sessions at any time.

24. Intellectual Property Enforcement

All copyrights, trademarks, logos, audio recordings, scripts, software, designs, databases, graphics, photographs, and other intellectual property remain the exclusive property of Cuyo or the respective rights holders.

Except as expressly permitted by these Terms or applicable law, users may not:

25. User Feedback

You may voluntarily provide suggestions, ideas, bug reports, feature requests, reviews, or other feedback.

Unless otherwise agreed in writing, you grant Cuyo a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, modify, publish, incorporate, and otherwise exploit such feedback without compensation or attribution.

You represent that providing such feedback does not infringe the rights of any third party.

Cuyo may introduce additional Services in the future, including but not limited to:

27. Force Majeure

Cuyo shall not be liable for delays or failures resulting from events beyond its reasonable control, including but not limited to:

28. Consumer Rights

Nothing in these Terms limits or excludes any statutory rights that cannot be waived under applicable consumer protection laws.

Where mandatory law grants users rights that differ from these Terms, those mandatory provisions shall prevail.

29. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

If you are a consumer residing in another country, you may additionally benefit from mandatory consumer protection provisions applicable in your country of residence where such protections cannot legally be excluded.

30. Dispute Resolution

Before initiating legal proceedings, we encourage users to contact us so that we may attempt to resolve disputes amicably.

Nothing in this section limits either party’s right to seek urgent injunctive relief where appropriate.

Where permitted by applicable law, the competent courts at the registered place of business of Cuyo shall have jurisdiction over disputes involving business customers.

Mandatory statutory jurisdiction rules for consumers remain unaffected.

31. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.

The invalid provision shall, to the extent permitted by law, be replaced by a valid provision that most closely reflects its original purpose and economic intent.

32. No Waiver

Failure by Cuyo to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

Any waiver must be made expressly and in writing.

33. Changes to these Terms

We may revise these Terms from time to time to reflect:

35. Entire Agreement

These Terms constitute the entire agreement between you and Cuyo regarding the use of the Services and supersede all prior oral or written understandings relating to the same subject matter.

Any additional terms presented in connection with specific Services shall supplement these Terms. In the event of a conflict, the additional terms shall prevail with respect to the relevant Service only.
